Terms and Conditions

1. Agreement Overview

These terms and conditions constitute the entire agreement between Dezynation ("Agency") and the client ("Client") for web development and related services.

2. Services

The Agency agrees to provide web development, design, and other digital services as outlined in the project proposal or agreement. Any additional services requested by the Client will be subject to additional charges and timelines.

3. Payment Terms

Project-Based Payments: Payments will be made in agreed milestones. A deposit of 30% is required before project commencement, with the remaining balance due upon project completion.

Late Payments: Payments not received by the due date will be subject to a late fee of 2% per month on the outstanding amount.

4. Ownership and Copyright

Client Content: All content provided by the Client for the project (e.g., text, images, etc.) remains the property of the Client.

Agency Deliverables: Upon final payment, the Agency grants the Client full rights to the completed project code and deliverables. The Agency retains the right to showcase the project in its portfolio unless otherwise agreed.

5. Confidentiality

The Agency agrees to keep all Client information confidential and will not disclose it to third parties without prior written consent, except as required by law.

6. Revisions and Modifications

The Agency will provide a reasonable number of revisions as outlined in the project agreement. Additional revisions or significant modifications outside the scope of the original agreement will incur additional fees.

7. Timelines and Deadlines

The Agency will make every effort to meet project deadlines. However, delays caused by unforeseen circumstances or Client delays (e.g., late content delivery, approval delays) are not the responsibility of the Agency and may result in adjusted timelines.

8. Warranties

The Agency warrants that the services provided will meet industry standards for quality and functionality. However, the Agency does not guarantee that the website or application will be error-free or that issues will not arise post-launch.

9. Limitation of Liability

The Agency is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered project. The Agency’s liability is limited to the amount paid by the Client for the specific project.

10. Termination

Either party may terminate the agreement with written notice if the other party breaches the terms and conditions. In the event of termination, the Client will be responsible for all work completed up to the termination date.

11. Dispute Resolution

Any disputes arising from this agreement will be settled through negotiation between the parties. If a resolution cannot be reached, the dispute will be handled through mediation or arbitration, as agreed by both parties.

12. Governing Law

This agreement will be governed by the laws of India, without regard to its conflict of laws provisions.

13. Changes to Terms

Dezynation reserves the right to modify these terms and conditions at any time. Clients will be notified of any changes and are expected to review and agree to the updated terms.
